Corporate Overview

Caerus Resource Corporation is a gold exploration Company focused on Colombia. Through its wholly owned Colombian subsidiary Minera Ophir S.A.S., Caerus has established an exploration presence located in Medellin. With experienced geological staff, three projects have been optioned to date, and all are within 150 kilometer radius of Medellin with excellent access. The area surrounding Medellin hosts some of the largest known gold deposits in Colombia, including the Marmoto Gold Mine at 9.5 million ounces, the Titiribi Mine at 3.7 million ounces, the Gramalote Project which hosts 2.39 million ounces and the historic Frontino Mine which has operated for 155 years, producing over 4.5 million ounces of gold. Two of the options are on small scale producing mines, the El Pino and El Cafetal Gold Mines. The Buritica West Gold Project is immediately adjacent to the exciting discovery of Continental Gold (TSX:V –CNL ) at the Yaragua Mine.
Caerus is listed on the TSX Venture Exchange under trading symbol CA, and currently has 23,222,456 million shares issued and outstanding.

Project Overview

El Pino Gold Mine – Comprised of 1,985 hectares, the project is a Mining License located in the Municipality of Maceo. It is situated 5 kilometers northeast of the Gramalote Project. In 2010, evaluation by the Company for the preparation of an NI 43-101 Technical Report returned significant gold values. A total of 9 rock chip samples were obtained by Mr. Paul Pelke, the consulting geologist to the Company and a Qualified Person as per National Instrument 43-101. The samples were approximately 2 meter chips and were obtained from exposed rock from various locations around an area currently being worked by the current owners. The area is identified to be a breccia zone of up to 30 meters in known width. Results ranged from a low of 0.5 grams per tonne gold to a high of 8.7 grams per tonne gold. Samples were bagged and tagged by Mr. Pelke, and then taken directly to ACME Laboratories in Medellin, a Certified Laboratory. Gold assays were obtained by metallic fire assay. Future work will include further sampling and ground evaluation to identify drill targets. The project was recently acquired under an Option to Purchase Agreement.
El Cafetal Gold Mine – Located in the Valparaiso Municipality, the project is comprised of approximately 135 hectares. The project is situated 12 kilometers north of the Marmato Gold Mine. The zone of interest is 175 meters wide and 1,300 meters long, and contains a number of historical adits and drifts from local mining efforts within stockwork and sheeted veinlet mineralization. A recent sampling effort by QP Paul Pelke returned interesting results. Of the six samples obtained, five samples returned gold values greater than 0.1 gpt Au. These gold values range from 0.125 grams per tonne gold (gpt Au) to a high of 41.6 gpt Au. In several samples both copper and silver were encountered in significant amounts. Further work is ongoing for continued evaluation prior to acquisition including opening the existing drifts, panel sampling the exposed veins and completing a surface evaluation using Mobil Metal Ion sampling, which is a proprietary sampling and processing technique of SGS Laboratories.


Buritica West Gold Project – This project is located immediately adjacent to the west side of the Yaragua Mine, in the Municipality of Buritica. Continental Gold’s flagship Buritica Gold Project is the location of 45,000 meters of diamond drilling with very significant gold intercepts. This work has identified the Veta Sur system, which is described by CNL as having a strike trending west and to depth. The Company is now completing a surface evaluation which includes Mobile Metal Ion sampling, a proprietary technique from SGS Laboratories.


The review and evaluation of other gold projects for possible acquisition is currently ongoing by company personnel.

Managment

Adrian F. C. Hobkirk, President, C.E.O. & Director


Mr. Hobkirk has over 17 years experience within the gold resource exploration sector, beginning with Norgold Resources Ltd. in 1989. Norgold was purchased by Bema Gold for the value of the Yarnell Project, a 350,000 ounce gold deposit.  He was also a founding director of Can-Pro Development Ltd in 1989,  which conducted initial exploration at the Dublin Gulch Project; now a 2-million ounce gold deposit.  Mr. Hobkirk has worked in Arizona,  Nevada, Canada, South America and has extensive experience in Latin America, having worked in Venezuela, Argentina and Chile.  His experience in Guyana began in 1995 with the exploration of the Groete Creek area by Kaieteur Resources, and he has well-established relationships and extensive practical knowledge of operations in that country.  Mr. Hobkirk has been responsible for founding Gold Port Resources Ltd., and for all of the acquisitions within the Company.  He holds a B.A. in Economics.  Mr. Hobkirk is also President, CEO and Director of Caerus Resource Corporation.   TSX Courses: Managing a Public Company - October 2006, Investor Relations Fundamentals - October 2006, Mining Company Disclosure Fundamentals - December 2006, Rules and Tools - October 2007.


Christopher Cherry, C.A., C.G.A., & C.F.O.


Mr. Cherry has over eight years experience as an accountant and auditor, with KPMG and Davidson and Company in Vancouver.  He achieved the Certified General Accountant designation in August 2004 and the Chartered Accountant designation in February 2009.  Mr. Cherry is a financial controller with iO Corporate Services Ltd., a private company that provides administrative services to several public companies.  Mr. Cherry currently serves as Chief Financial Officer to Black Isle Resources Corp., Teslin River Resources Corp., Reva Resources Corp., Max Resource Corp. Mexivada Mining Corp., Chelsea Minerals Corp., AVC Venture Capital Corp., and Totem Minerals Inc. and all of which are listed on the TSX Venture Exchange. Mr. Cherry is also the CFO for Gold Port Resources Ltd.


Allen V. Ambrose, Director


Mr. Ambrose has over 25 years of experience in the mining industry, including work with larger companies as well as junior exploration companies. He has been a director of Minera Andes since November, 1995.



Mr. Ambrose has extensive experience in all phases of exploration, project evaluation and project management, and has worked as a geologic consultant in the U.S., Venezuela, and Argentina. As a consultant, he was a co-discoverer of a Venezuelan auriferous massive sulfide deposit acquired by Gold Reserve Corporation, and known as the Brisas deposit. He has been employed as the exploration manager for N.A. Degerstrom Inc., a U.S. contract mining company, and has worked as a geologist for Cyprus minerals, Kidd Creek Mines, Molycorp, Boise Cascade and Dennison Mines. He holds a B.Sc. degree in Geology from Eastern Washington University.



Mr. Ambrose sat on the board of directors of Cadre Resources Ltd. until March 2001, and has been a director of Caerus Resource Corporation and Century Mining Corporation since July 2002.


A.D. (Darryl) Drummond, Ph.D., P.Eng., Director


A.D. (Darryl) Drummond, Director, is a Ph.D and a professional engineer. He was a director of Minera Andes from June 1996 until 2008. He graduated from the University of British Columbia with a B.A.Sc. in Geological Engineering in 1959 and with a M.A.Sc in 1961. He obtained his Doctorate degree in 1966 from the University of California at Berkeley. As an undergraduate and graduate, he worked with Kennco Explorations (Western) Ltd. during the period 1958 to 1961. He has been associated with the Placer Development Group of Companies since 1963, first with Craigmont Mines Ltd, then Endako Mines and Gibraltar Mines.



At the Placer head office since 1967, he initially was a Research Geologist and then Assistant Exploration Manager, Western Canada, for Canex Placer Ltd. During 1977 to 1979, he was Manager of Placer Development y Cia. Ltda, in Santiago, Chile, then returned to the position of Research Geologist with the Technical Services Advisory Group for the Placer Group of Companies in Vancouver.



Since 1981 he has been a consulting professional engineer, concentrating on all aspects of mineral deposit evaluation covering precious metal, base metal, and industrial mineral types in such countries as Argentina, Canada, Chile, China, Costa Rica, Ecuador, Guyana, Mexico, Philippines, USA and Venezuela. He is a member of the Society of Economic Geology and a member of the Geology Section of the Canadian Institute of Mining and Metallurgy.



He was director of Cadre Resources Ltd. from November 1994 to Februyary 1995; director of All North Resources Ltd from May 1995 to July 9, 1996; and director of International All-North Resources Ltd. from July 10, 1996 to December 23, 1998; director of The Quinto Mining Corporation from September 11, 1996 to August 10, 1997; director of Riverdance Resources Corporation from January 1998 to December 15, 1998; director of Caerus Resource Corporation from December 23, 1998 to now; director of Saxony Explorations Ltd. from February 2000 to September 24, 2005; director of Valerie Gold Resources from November, 1998 to March 27, 2003 and director of Valgold Resources Ltd. from March 27, 2003 to present. He is also a director of Gold Port Resources Ltd. since October 12, 2004 to present.


Kenneth A. Sadowski,  Corporate Secretary,  Director


Mr. Sadowski worked with Mr. Adrian Hobkirk in the gold resource exploration sector with Norgold Resources Ltd. in 1989. Norgold was purchased by Bema Gold for the value of the Yarnell Project, a 350,000 ounce gold deposit. After Norgold Resources Ltd., he worked as a Marketing Consultant in Vancouver, British Columbia and Calgary, Alberta. Mr. Sadowski holds a B.A. in Economics. He is also a Director and Corporate Secretary of Gold Port Resources Ltd.
